1.CONTRACTUAL RELATIONSHIP

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES. Your use of the Services indicates your acceptance of these Terms, creating a binding contractual relationship between you and Holadrive. If you do not agree to these Terms, please refrain from accessing or using the Services. These Terms replace any prior agreements you may have had with us.

Holadrive reserves the right to terminate these Terms or any Services concerning you, or to stop offering or deny access to the Services at any time for any reason. Additional terms may apply to specific Services, such as policies for events or promotions, and will be communicated to you accordingly. These supplemental terms are part of the Terms and will take precedence in the event of any conflict regarding the applicable Services.

Holadrive may update these Terms periodically. Any changes will be effective once posted at this location or alongside the amended policies on the relevant Service. Continued access to or use of the Services after such posting signifies your acceptance of the revised Terms.

Our collection and use of personal information in relation to the Services is detailed in Holadrive’s Privacy Policy, available at https://www.holadrive.com/legal. In the event of a complaint, dispute, or conflict involving you and a Third Party Provider (including a transportation network company driver), Holadrive may share necessary information (such as your contact details) with a claims processor or insurer to facilitate resolution.

2.THE SERVICES

The Services include: (a) a technology platform that allows users of Holadrive’s mobile applications or websites (each referred to as an “Application”) to arrange and schedule transportation and logistics services with independent third-party providers, including transportation and logistics providers that have agreements with Holadrive and/or its affiliates (“Third Party Providers”); (b) support services for Application users, which encompass payment facilitation, sharing trip details, resolving issues, and arranging pickups at airports or other locations; and (c) the ride pass service, which offers users discounted rides as available from Holadrive.

Unless otherwise specified in a separate written agreement, the Services are intended solely for your personal, non-commercial use. YOU ACKNOWLEDGE THAT Holadrive DOES NOT PROVIDE TRANSPORTATION OR LOGISTICS SERVICES, NOR DOES IT ACT AS A TRANSPORTATION CARRIER; all such services are provided by independent third-party contractors who are not employed by Holadrive or its affiliates.

LICENSE.
Subject to your compliance with these Terms, Holadrive grants you a limited, non-exclusive, non-sublicensable, revocable, and non-transferable license to: (i) access and use the Applications on your personal device solely for the purpose of using the Services; and (ii) access and use any content, information, and related materials provided through the Services, all exclusively for your personal, non-commercial use. Any rights not expressly granted here are reserved by Holadrive and its licensors.

RESTRICTIONS.

You may not: (i) remove any copyright, trademark, or other proprietary notices from any part of the Services; (ii) reproduce, modify, create derivative works from, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the Services except as expressly permitted by Holadrive; 

(iii) decompile, reverse engineer, or disassemble the Services unless permitted by applicable law; (iv) link to, mirror, or frame any part of the Services; (v) launch any programs or scripts for the purpose of scraping, indexing, surveying, or data mining any part of the Services, or otherwise impose an undue burden on the operation and functionality of the Services; or (vi) attempt to gain unauthorized access to or disrupt any aspect of the Services or its related systems or networks.

PROVISION OF THE SERVICES.
You acknowledge that parts of the Services may be offered under various Holadrive brands or request options related to transportation or logistics. These include transportation brands currently known as “HolaDrive,” “HolaDriveShare,” “HolaDelivery,” “HolaEat,” You also recognize that these Services may be available through these brands or options by or in association with: (i) certain subsidiaries and affiliates of Holadrive; or (ii) independent Third Party Providers, including drivers for transportation network companies, transportation charter permit holders, or those holding similar permits, authorizations, or licenses.

THIRD PARTY SERVICES AND CONTENT.

The Services may be accessed in connection with third-party services and content (including advertising) that are not under Holadrive’s control. You acknowledge that different terms of use and privacy policies may apply to your use of such third-party services and content. Holadrive does not endorse these third-party services and content, and will not be responsible or liable for any products or services provided by third-party providers. 

Additionally, if you access the Services using applications developed for Apple iOS, Android, Microsoft Windows, or BlackBerry devices, Apple Inc., Google, Inc., Microsoft Corporation, or BlackBerry Limited and their respective international subsidiaries will be third-party beneficiaries of this agreement. These third-party beneficiaries are not parties to this contract and bear no responsibility for providing or supporting the Services. Accessing the Services on these devices is subject to the terms set forth in the applicable third-party beneficiary’s terms of service.

**OWNERSHIP:** The Services and all associated rights remain the property of Holadrive or its licensors. Neither these Terms nor your use of the Services grants you any rights: (i) in or related to the Services, except for the limited license granted above; or (ii) to use or reference Holadrives company names, logos, product and service names, trademarks, or service marks, or those of Holadrive’s licensors, in any manner.
